Welcome to DayBriefly ("we," "our," or "us"). By accessing or using our website, web app, or any related services ("Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Notice.

If you do not agree with these Terms, please do not use DayBriefly.

These Terms apply to all users, including those who join our waitlist, create an account, or access any part of our platform.

2. Overview of the Service

DayBriefly is a web-based productivity and AI platform designed to help nurse and healthcare leaders organize their daily notes, generate summaries, and surface operational insights.

The Service allows users to capture information by voice, text, or photo, and automatically formats and delivers leadership briefs via the web or email.

DayBriefly is not designed for patient documentation and must not be used to store, transmit, or process Protected Health Information (PHI) or other sensitive medical data.

3. Eligibility

You must be at least 18 years old to use DayBriefly. By using the Service, you confirm that you have the legal authority to enter into this agreement and comply with these Terms.

4. Account Registration and Security

To access certain features, you may need to create an account. You agree to:

  • Provide accurate and complete information during registration.
  • Keep your login credentials secure.
  • Notify us immediately at support@daybriefly.com if you suspect unauthorized access.

You are responsible for all activity under your account.

5. Acceptable Use

You agree not to use DayBriefly to:

  • Upload, record, or store any patient data or Protected Health Information (PHI).
  • Engage in unlawful, fraudulent, or abusive activity.
  • Interfere with or disrupt the Service or its security features.
  • Reverse-engineer, copy, or resell any part of the Service without written permission.

Violation of this section may result in account suspension or termination.

6. Intellectual Property Rights

All content, branding, and technology on DayBriefly (including text, graphics, AI systems, and design) are owned by or licensed to DayBriefly and protected by intellectual property laws.

You retain ownership of your own content — such as notes, text, and photos — but grant DayBriefly a limited license to process, analyze, and store that content solely to provide and improve the Service.

You may not use DayBriefly trademarks or branding without prior written consent.

7. AI-Generated Content

DayBriefly uses artificial intelligence to generate summaries, briefs, and insights from your inputs.

These outputs are for informational and organizational purposes only and should not be treated as verified facts or professional advice.

You are responsible for reviewing and validating all AI-generated outputs before using them for leadership or administrative decisions.

8. Privacy

Your use of DayBriefly is subject to our Privacy Notice, which explains how we collect, use, and protect your data.

By using the Service, you consent to our data practices as described there.

9. Service Availability and Updates

We aim to provide reliable, continuous access to DayBriefly but cannot guarantee uninterrupted or error-free operation.

We may update, modify, or temporarily suspend parts of the Service for maintenance, new features, or performance improvements.

We reserve the right to discontinue the Service (or any feature) at our discretion, with reasonable notice to active users.

10. Payment and Subscription (If Applicable)

If DayBriefly offers paid subscriptions or premium plans:

  • Fees and billing terms will be disclosed at purchase.
  • Subscriptions renew automatically unless canceled before the renewal date.
  • Refunds, if applicable, will be processed according to our refund policy.

11. Disclaimer of Warranties

DayBriefly is provided "as is" and "as available."

We make no warranties or representations, express or implied, regarding the Service's accuracy, reliability, or fitness for a particular purpose.

To the fullest extent permitted by law, we disclaim any liability for errors, omissions, interruptions, or loss of data arising from your use of the Service.

12. Limitation of Liability

To the maximum extent permitted by law, DayBriefly, its affiliates, and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, profits, or goodwill — arising out of or related to your use of the Service.

Our total liability to you for any claim shall not exceed the amount paid (if any) for the Service in the 12 months preceding the claim.

13. Termination

You may stop using DayBriefly at any time.

We reserve the right to suspend or terminate your access if you violate these Terms, misuse the Service, or pose a security or compliance risk.

Upon termination, your right to use DayBriefly ends, but sections related to intellectual property, liability, and governing law will remain in effect.

14. Governing Law

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in New York.

15. Changes to These Terms

We may update these Terms periodically to reflect new features, policies, or legal requirements.

When we make significant changes, we will update the "Effective Date" above.

Continued use of DayBriefly after changes means you accept the updated Terms.
