These Terms of Service ("Terms") govern your access to and use of DayBriefly's website, web app, and related services (collectively, the "Service").

By accessing or using DayBriefly, creating an account, joining a waitlist, purchasing a subscription, or otherwise interacting with the Service, you agree to these Terms and our Privacy Policy.

If you do not agree, do not use DayBriefly.

The Service

DayBriefly is a productivity and organizational support platform that allows users to capture information through text, voice recordings, images, and similar inputs, then receive structured outputs derived from those inputs, including summaries, briefs, reminders, agendas, and related organizational content.

These outputs may be available inside the platform and may also be delivered by email or other communication features selected or enabled by the user.

DayBriefly is designed to support organization, follow-through, and visibility into user-submitted information. It is not a medical record, legal record, official recordkeeping system, emergency service, or professional decision-making system.

No Professional Advice

DayBriefly does not provide medical, nursing, legal, compliance, financial, employment, operational, or other professional advice.

Any summaries, insights, reminders, or other outputs generated by the Service are for informational and organizational purposes only. They may be incomplete, inaccurate, simplified, or dependent on the quality and completeness of the information submitted.

You are solely responsible for reviewing, validating, interpreting, and deciding how to use any output generated by the Service. You remain responsible for your own professional judgment, compliance obligations, workflows, and decisions.

Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use DayBriefly.

Account Security

To use certain features, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information
  • Keep your login credentials secure
  • Update your information when needed
  • Notify us promptly at support@daybriefly.com if you suspect unauthorized access

You are responsible for activity under your account unless caused by our failure to use reasonable security measures.

Your Content

You retain ownership of the content you submit to the Service, including notes, recordings, images, prompts, and similar materials ("User Content").

You are solely responsible for your User Content, including whether it is lawful, accurate, appropriate, and authorized for submission.

You agree not to submit content that:

  • Includes Protected Health Information ("PHI") or other regulated health information
  • Includes confidential, proprietary, or personal information you are not authorized to disclose
  • Violates any law, regulation, contract, confidentiality duty, privacy right, or intellectual property right
  • Contains malicious code, harmful files, or material intended to disrupt the Service

If you work in a regulated, confidential, or professional environment, you are responsible for deciding whether your use of DayBriefly is appropriate.

License to Operate the Service

To operate the Service, you grant DayBriefly a limited, non-exclusive, revocable, worldwide license to host, store, reproduce, process, analyze, format, adapt, transmit, and display your User Content solely as necessary to provide, maintain, improve, secure, and support the Service.

This license ends when your User Content is deleted from the Service, except where retention is permitted or required for backups, legal compliance, security, fraud prevention, dispute resolution, or enforcement of our agreements.

Acceptable Use

You agree not to:

  • Use the Service for unlawful, fraudulent, deceptive, or abusive purposes
  • Upload or process PHI or other information you are not authorized to share
  • Misrepresent your identity or affiliation
  • Interfere with, disrupt, damage, or impair the Service or related systems
  • Attempt to gain unauthorized access to accounts, data, or infrastructure
  • Reverse engineer, scrape, copy, modify, or resell the Service except as permitted by law or with our written consent
  • Use the Service to build a competing product through unauthorized extraction or replication of features, workflows, or outputs
  • Use the Service in a way that could create unreasonable risk to others or be treated as a substitute for official documentation, regulated recordkeeping, or professional review

We may suspend or terminate access if your use violates these Terms or creates legal, security, operational, or reputational risk.

AI and Generated Outputs

DayBriefly uses automated systems, including AI-assisted functionality, to generate summaries, briefs, reminders, and related outputs from User Content.

Generated outputs are based on the information submitted by users and may not reflect every fact, nuance, deadline, or detail. Outputs may contain errors, omissions, misinterpretations, or formatting choices made by automated systems. User Content may be transmitted to third-party AI service providers for processing under contractual terms that require those providers to process your content only for the purpose of performing services on our behalf.

You are responsible for reviewing all generated outputs before relying on them, sharing them, or using them in connection with work, leadership, administration, compliance, staffing, personnel matters, or any other decision-making process.

Email and External Delivery

Certain features may allow or require outputs to be delivered by email or made available outside the DayBriefly platform.

Once content or outputs are transmitted outside the platform, DayBriefly may have limited or no control over how that information is stored, forwarded, accessed, retained, or used by others. You are responsible for deciding whether external delivery is appropriate for your intended use.

Subscriptions and Billing

Some parts of the Service may be offered on a paid subscription basis.

If you purchase a subscription:

  • You agree to pay all disclosed fees, taxes, and charges associated with your selected plan
  • Billing terms, plan features, pricing, trial terms, and renewal terms will be presented at or before purchase
  • Unless otherwise stated, subscriptions renew automatically at the end of each billing cycle until canceled
  • You may cancel renewal using the cancellation method described in your account, billing flow, or applicable app marketplace
  • Except where required by law or expressly stated otherwise, fees are non-refundable once charged

If payment cannot be completed, we may suspend or downgrade access to paid features.

If your subscription is downgraded or canceled, access to paid features will be restricted. You may export or request deletion of your data at any time. If we discontinue a paid plan, we will provide reasonable advance notice.

Intellectual Property

The Service, including its software, design, branding, text, graphics, interfaces, workflows, and underlying technology, is owned by or licensed to DayBriefly and protected by intellectual property and other applicable laws.

Except for the limited rights expressly granted in these Terms, no rights are granted to you. You may not use DayBriefly's name, logos, trademarks, or branding without prior written permission.

Feedback

If you provide feedback, suggestions, ideas, or recommendations regarding the Service, you grant DayBriefly a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use and incorporate that feedback for any lawful purpose without compensation or attribution.

Availability and Changes

We may update, modify, remove, suspend, or discontinue any part of the Service at any time, including features, functionality, outputs, pricing, or availability.

We aim to provide a reliable Service but do not guarantee uninterrupted, secure, or error-free operation. Scheduled or unscheduled downtime may occur.

Where practical, we may provide notice of material changes affecting active users.

Termination

You may stop using the Service at any time.

We may suspend, restrict, or terminate your access to the Service, with or without notice, if:

  • You violate these Terms
  • We believe your use poses legal, compliance, security, or operational risk
  • We discontinue the Service or a relevant feature
  • Payment obligations are not met

Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination will remain in effect.

Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAYBRIEFLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SERVICE OR ANY OUTPUT WILL BE ACCURATE, COMPLETE, ERROR-FREE, SECURE, AVAILABLE AT ANY PARTICULAR TIME, OR SUITABLE FOR YOUR NEEDS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAYBRIEFLY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, GOODWILL, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAYBRIEFLY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO DAYBRIEFLY FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS (US $50.00).

The limitations in this section do not apply to liability arising from DayBriefly's gross negligence, willful misconduct, or obligations that cannot be limited under applicable law.

Indemnity

You agree to defend, indemnify, and hold harmless DayBriefly and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your User Content
  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any law, regulation, confidentiality obligation, privacy right, or third-party right

Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles.

Unless otherwise required by applicable law, any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in New York, and you consent to their jurisdiction and venue.

Changes to These Terms

We may revise these Terms from time to time to reflect changes to the Service, our business practices, or legal requirements. When we do, we will update the Effective Date above.

Your continued use of the Service after revised Terms become effective constitutes your acceptance of the updated Terms.
